Terms and Conditions of Sale
What you are buying, at what price, for how long, and what each side owes the other.
1. Purpose
These terms and conditions of sale govern the services sold by BLACKT to its business clients, in particular those ordered online through the BLACKT Studio journey on blackt.io. Placing an order means accepting these terms in full, to the exclusion of any other document.
2. The provider
BLACKT, a limited liability company with share capital of 1,000 euros, registered office at 128 rue la Boétie, 75008 Paris, France, registered with the Paris trade and companies register under number 881 515 175, EU VAT number FR05881515175.

3. The services
3.1 The website
The website is built from an existing design in the BLACKT Studio catalogue, customised with the client's colours, typefaces and content. It is not a bespoke design.
- Static website: ten pages, the client's content added, matched to their brand, basic technical SEO, put online. The site has no administration interface: later changes are made by BLACKT.
- WordPress website: ten pages, the client's content added, matched to their brand, basic technical SEO, put online, and an interface allowing the client to edit their own content.
3.2 Maintenance
- No maintenance: the site is installed on the client's own hosting, which they then operate.
- Basic maintenance: hosting, security and monitoring, technical updates, daily backups.
- Full maintenance: everything in basic maintenance, plus two hours of changes a month. Unused hours do not carry over.
3.3 Visibility
- Basic: the technical SEO included in the site, with no monthly work.
- Ongoing: content published every month, written for search engines and for AI engines, position tracking and a monthly analysis.
4. Orders
Orders are placed online through the BLACKT Studio journey. The client chooses a design and options, then pays. The contract is formed when the first payment is taken, and confirmed by a summary email listing the services chosen and their price.
After payment, BLACKT collects the client's final content and arranges a launch call to settle any adjustment needed.
5. Prices
Prices are in euros, excluding tax. Value added tax at the applicable rate is added to the displayed price. A VAT registered client established in another European Union member state who provides a valid EU VAT number is subject to the reverse charge and is not charged French VAT.
The applicable prices are those shown on the site on the day of the order. BLACKT may change its prices at any time; a change has no effect on orders already placed.
6. Payment
Payments are processed by Stripe Payments Europe Limited. Card details are sent directly to that provider: BLACKT never has access to them and does not store them.
Two arrangements are offered for the website:
- Monthly: the price of the site is paid in twelve monthly instalments, taken each month on the anniversary of the order.
- Yearly: the price of the site is paid in one go, at a lower rate. In that case the first month of maintenance and visibility is free.
Maintenance and visibility are billed monthly by recurring payment and continue after the twelve month period of the website.
Late payment automatically incurs interest at the rate applied by the European Central Bank to its most recent refinancing operation, increased by ten percentage points, together with a fixed recovery charge of 40 euros, under articles L441-10 and D441-5 of the French commercial code. After a formal notice left without effect for fifteen days, BLACKT may suspend the services in progress.
7. Term, commitment and cancellation
- The website: on the monthly arrangement, the client commits to twelve instalments. The price of the website is due in full, whatever the date the other services stop. On the yearly arrangement the website is paid once and nothing further is due for it.
- Maintenance: no minimum term, cancellable at any time with effect at the end of the current month.
- Ongoing visibility: a three month minimum term from the day it starts, then cancellable at any time with effect at the end of the current month.
Cancellation is requested by email to contact@blackt.io. It takes effect at the end of the period already paid for, with no pro rata refund.
When maintenance stops, BLACKT hands the client the files of their website and helps with the transfer to the hosting of their choice.
8. The client's obligations
The client provides the final content of their website, text, images and logo, within thirty days of the order. They warrant that they hold all necessary rights to that content and indemnify BLACKT against any third party claim in that respect.
The client appoints a single contact and answers approval requests within a reasonable time.
9. Timescales
The website is put online within an indicative five working days from the receipt of all content and the holding of the launch call. Time does not run while content is outstanding.
10. Intellectual property
The client keeps ownership of the content they provide. They become the owner of the content written for them by BLACKT under the visibility service once it has been paid for in full.
The design, its code, its structure and its visual system remain the property of BLACKT. The client receives a non exclusive, non transferable right of use, for the operation of their own website only and for as long as it is operated.
BLACKT may name the project and show images of it among its references, unless the client objects in writing.
11. Hosting and domain name
With a maintenance plan, hosting is included in the subscription. Without one, the site is installed on the client's own hosting, at their cost and under their responsibility.
The domain name remains the property of the client in every case, registered in their name.
12. Right of withdrawal
The services are intended for businesses. Under article L221-3 of the French consumer code, a business client whose contract falls outside the scope of their main activity and who employs five people or fewer has fourteen days from the conclusion of the contract to withdraw.
A client who expressly asks for the services to start before the end of that period remains liable for the amount corresponding to the services already provided at the date of withdrawal.
13. Warranties and liability
BLACKT is bound by an obligation of means. It gives no guarantee of results in terms of search engine ranking, traffic, citation by AI engines or revenue, as those results depend on factors outside its control.
BLACKT's liability is limited to direct damage and may not exceed the amounts actually paid by the client over the twelve months preceding the event giving rise to the claim.
14. Personal data
The processing of personal data is described in the privacy policy. Payment data is processed by Stripe Payments Europe Limited, as a controller in its own right.
15. Force majeure
Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French civil code. Beyond thirty days of impediment, either party may terminate the contract by email, with no compensation due.
16. Changes to these terms
BLACKT may change these terms. The terms applying to an order are those in force on the day of that order. Any change affecting a current subscription is notified to the client at least thirty days before it takes effect; the client may then cancel the subscription concerned free of charge.
17. Governing law and disputes
These terms are governed by French law. In the event of a disagreement, the parties will seek an amicable solution before any legal action. Failing agreement, the commercial court of Paris has sole jurisdiction.
